The company said the buyback aligns with its commitment to return excess capital to shareholders. OSB Group disclosed the program alongside its full year results for the year ended December 31, 2025. The company has entered into an agreement with Jefferies International Limited to execute the buyback through market purchases of ordinary shares on the London Stock Exchange or other recognized investment exchanges. Jefferies will operate as riskless principal and make trading decisions independently of the company, subject to certain agreed parameters. The maximum number of ordinary shares to be acquired under the program is 37,035,134, representing the number of shares the company is authorized to repurchase under authority granted by shareholders at the Annual General Meeting on May 8, 2025. The company stated it intends to cancel the repurchased shares, reducing its share capital. The share repurchase program is expected to complete no later than March 6, 2027. Jefferies will continue operating the program during any closed periods.
